Course Description

Business Law and Commercial Transactions is an in-depth look at the legal environment that impacts businesses of all types, whether public, private, closely held, local, or international. This course examines some of the most critical topics including legal systems, sources of law, torts, contracts, intellectual property, agency, employment, and secured transactions. We will also compare different legal systems and provide an overview of the various stages of litigation. What makes a contract a contract? What is a tort? Contracts and torts have distinguishing qualities and attributes.

Upon completion of this course, you will be exposed to the difference between basic torts, intentional torts, strict liability, and product liability. Additionally, the course provides insight on contract formation, the requirements to create a binding agreement, various writing requirements, and terms routinely reviewed by the courts. Debtor/Creditor Law is fascinating. Assets are routinely used as collateral to secure loans. The intricacies of the process of securing a loan are outlined in this course.

We will also cover the nuances of bankruptcy and how certain creditors prevail over others due to their status within the bankruptcy framework. Intellectual Property covers Copyrights, Patents, Trademarks, and Trade Secretes. Explore the world of Intellectual Property, from researching opportunities to registering your property rights. We will discuss different cases illustrating the types of Intellectual Property and methods of protecting those rights.

Employment law is one of the most important areas for businesses of all types. You will have an opportunity to study the similarities and differences between different types of business entities and the impact of employment law on those entity types. We will also discuss agency and the rules imposed upon organizations who have employees as well as independent contractors performing work for their organization.

This course is designed to be highly engaging. Participants are encouraged to bring their own experiences to the forum for a lively discussion on different approaches to complex problems and best practices for timely resolution to important legal matters.
